PROCEDURE AND TERMS OF PAYMENT.

The quality of the Products shall meet the Export
Specification.
The Export Specification of the Products shall
comply with Russian Standard GOST 305-82 Gas
Oil

Quality of the Goods, each tanker party, will be
defined by the Independent Inspector in the port of
loading, and to be specified in the Certificate of
quality issued by the Independent Inspector

The quality of the Products as stated in the
Certificate of Quality issued by the Independent
Inspector shall be final and binding upon both parties
except for fraud or manifest error.

Sampling shall be done in accordance with the
standard international procedure. The samples shall
be drawn, thoroughly mixed, filled into not less than
six bottles and sealed.

One part of these samples filled into not less than 
two bottles and sealed by the Independent Inspector is 
to be placed on board of the tanker under the Master’s 
care and to be delivered to the Buyer. The minimum 
of two bottles shall be kept by the Independent 
Inspector. The other part of the same samples filled 
into not less than two bottles and sealed by the Master 
shall be kept by the Seller.


The Seller guarantees that the quality of the 
Product will meet the Export Specification.

Delivery and Goods acceptance by quantity and
quality is carried out according to requirements of the
present Contract, on the terms FOB port
Novorossiysk and Primorsk on the basis of
INCOTERMS 2010.

The quality of the Goods is to be determined by
the prime independent inspector (SGS, Saybolt) at the
loading port on the basis of composite samples.

The quantity of the Goods is defined by the first
class independent inspector when loading on a tanker
vessel, according to the accepted rules and norms in
the port of loading.

The quantity of the “Goods”, delivered by the
Seller and accepted by the Buyer, is as per the Bill of
Lading issued by independent inspector and shall be
considered final and binding upon both parties.

On FOB port Novorossiysk and Primorsk, Russia
terms, the quantity of the “Goods” is confirmed by
flow meter readings and also could be confirmed by
ship’s tanks measurements adjusted by VEF.

The Buyer has the right to appoint his or her own
inspector at load port at Buyer’s expense.

5.7. During loading of the tanker arbitration samples
are to be taken from auto-sampler to determine the
quality. Sampling shall be performed according to the
standard industry practice. Samples thus taken should
be thoroughly mixed, put into bottles and sealed.

5.8. One part of these samples filled into not less than
two bottles and sealed by the Sellers or their
appointed representative, shall be placed on board the
tanker to the care of the Master for delivery to the
Buyers or their nominated representative in the
discharge port. The other part of the samples, filled
into not less than two bottles, sealed by the Master, is
to be delivered to the Sellers.

5.9. Taken samples shall be considered as the only 
samples for arbitration. If loading was made in the 
presence of the independent Inspector, samples taken 
by this inspector shall be considered as arbitration 
samples.

5.10. The parties should keep these tests within three 
(3) months from the moment of delivery, and in case 
of the claim – till its settling.


6.4.1. The Buyer, in accordance with the delivery
schedule agreed by both Parties, shall inform the
Seller not later than 5 (five) days prior to arrival of
the tanker at the loading port the name, capacity, flag
and daft of the vessel, approximate date of its arrival
to the port of loading.

6.4.2. The Master shall cable or telex to the Seller or
to the ship-owners agent at the load-port the tanker’s
ETA 72 hours prior to the arrival, stating loading
capacity, flag and draft of the tanker, quantity of
clean or dirty ballast and precise time of the tanker’s
arrival 48, 24 and 12 hours before its arrival at the
port of loading

1. The seller and the Buyer coordinate and sign the
Contract in electronic form, in the PDF format.

2. At an exchange of originals of the present Contract, 
the Seller and the Buyer will coordinate and approve 
the schedule of shipment of the Goods from railway 
station of oil refinery (the terminal налива) and its 
transportations to a railway station of destination and 
via pipeline as well (the plum / accumulation terminal 
in the port of loading, Novorossiysk and Primorsk).

4. Start of shipments, according to earlier stipulated 
terms

5. The buyer provides Q88 vessel and ETA .

6. The seller coordinates the actions with the captain,
tracing his arrival and coordinating, both with the
captain, and with the Buyer, loading terms on a tanker
vessel

7. The seller guarantees Laycan on a vessel in the port 
of Novorossiysk and Primorsk, according to the 
Schedule of Deliveries (Appendix No. 2) and makes 
Goods loading on a tanker vessel, with involvement of
the Independent expert company (SGS, Saybolt) for 
determination of quality and quantities according to 
rules and the norms accepted on the terminal loadings 
(Novorossiysk and Primorsk port).


8. After loading on the tanker vessel Seller within
forty eight (48) hours, by facsimile or by an electronic
communication provides to the Buyer, the following
documents:

9. The buyer pays to cost of the put Goods on a tanker
vessel of the Buyer, in the form of transfer of money
(MT103), in the terms which are not exceeding five
(5) bank days from date, release of the consignment of
a tanker vessel and providing documents, according to
point 7, the present Appendix No. 4.

11. The buyer within twenty four (24) hours from the
moment of payment, is obliged to provide to the Seller
by a facsimile or electronic communication a copy of
the payment order (SWIFT).
