Transaction Procedure

1. The Project Owner submits a full intake package in English duly completed in all respects and signed with compliance package including bank rwa letter or a signed leased / owned bank instrument contract between the SBLC provider/issuer and the Project Owner and/or swift fee payment receipt.

2. Within two (2) banking days upon receipt of a full intake package, the Project Funder issues Non-Recourse Project Funding (NRPF) Agreement with beneficiary bank coordinates.

3. Within two (2) banking days upon receipt of a NRPF Agreement, the Project Owner will sign the NRPF Agreement and return to the Project Funder with full isuing bank coordinates, copies of international passport, and company registration certificate.

4. Within two (2) banking days upon receipt of the signed NRPF agreement, the Project Funder will countersign the NRPF Agreement and return to the Project Owner with copies of international passport and company registration certificate. This NRPF Agreement automatically becomes a full commercial recourse contract. Both parties will lodge the signed contract with respective banks.

5. Within one (1) banking day upon the Project Owner’s receipt of the countersigned agreement, the Project Owner’s Issuing Bank, IKB Deutsche Industriebank AG, Spain, issues MT799 Pre Advice (EXHIBIT A) to  the Project Funder’s bank account coordinates listed herein – Westpac Bank, Australia via authentic SWIFT. The Project Owner shall make a courtesy copy of MT799 Pre Advice available to the Project Funder by email immediately for tracking purpose.

6. Within two (2) banking days  upon the Project Funder’s bank receipt, confirmation and authentication of the issued MT799 Pre-advice from Project Owner’s issuing bank, IKB Deutsche Industriebank AG, Spain, the Project Funder’s beneficiary bank will issue MT799 Respone to the Project Owner’s designated bank account – IKB Deutsche Industriebank AG, Spain via authentic SWIFT. The Project Funder shall make a courtesy copy of MT799 Response available to the Project Owner by email immediately for tracking purpose.

7. Within two (2) banking days upon receipt and confirmation of the Project Funder’s   Issued MT799 Response, the Project Owner shall cause IKB Deutsche Industriebank AG, Spain to transmit Operative SBLC (EXHIBIT C) via Swift MT760 to the Project Funder’s designated beneficiary bank account to be used as collateral for a project funding. The Project Owner shall make a courtesy copy of the MT760 SBLC available to Project Funder by email immediately.

8. Upon the beneficiary bank's receipt of the Standby Letter of Credit delivery by Swift MT760, the satisfactory verification, authentication and validation of MT760 must be completed on bank to bank basis within two (2) international banking days. If verified and authenticated, the Project Funder shall issue €240,000.00 Euro (Two Hundred Forty Thousand Euro) or 12% of face value of MT760 instrument of first tranche in five (5) international banking days by Swift MT103 wire transfer or international bank wire to the Project Owner’s nominated bank accounts as per this agreement. The Project Funder shall make a courtesy copy of the Swift MT103 wire transfer or international bank wire transfer receipt available to the Project Owner by email.

9. Simultaneously, the Project Funder will pay 2% commission over and above the 12% LTV to all the identified Agents according to the Fee Protection Agreement attached without delay or withholding, including all rolls and extensions.

10. Within next seven  (7) international banking days after the Project Owner receives 12% non recourse funding and the assgined agents receive 2% commissions, hard copy of SBLC will be delivered via a bank bonded courier.

11. The Project Funder’s beneficiary bank, Bank of South Pacific, will return MT760 SBLC instrument un-claimed and un-pledged, to Project Owner’s Issuing Bank, IKB Deutsche Industriebank AG, Spain, fifteen (15) banking days before the date of maturity.
